US ELITE LEAD AS VERIZON TAKES YAHOO! FOR $4.8BN

Skadden, Arps, Slate, Meagher & Flom and Wachtell, Lipton, Rosen & Katz are among a host of US firms advising on Verizon Wireless’ much-anticipated acquisition of Yahoo!. Wachtell, Gibson, Dunn & Crutcher, Covington & Burling and Winston & Strawn are acting for Verizon. Skadden, Wilson Sonsini Goodrich & Rosati and Weil, Gotshal & Manges are advising Yahoo!, while Cravath, Swaine & Moore is acting for the strategic review committee of Yahoo! as its independent legal adviser.

 

MACFARLANES AND CLEARY LAND ROLES ON $2.4BN FLEETMATICS DEAL

City, Irish and US firms combined to advise on Verizon’s $2.4bn acquisition of Fleetmatics Group. The Dublin-based vehicle tracking company was advised by Goodwin Procter and offshore firm Maples and Calder, while Macfarlanes, Cleary Gottlieb Steen & Hamilton and Irish firm A&L Goodbody acted for Verizon.

 

ASHURST LOSES OUT TO GIBSON DUNN ON ODEON SALE

Gibson, Dunn & Crutcher advised long-term Ashurst client Terra Firma Capital Partners on its $1.2bn sale of Odeon Cinemas. The team acted opposite Pinsent Masons, who led for buyer AMC Theatres. Weil, Gotshal & Manges advised on the financing and Osborne Clarke acted for Odeon’s management.

 

SLAUGHTERS AND DAVIS POLK FACE off ON MASTERCARD DEAL

Slaughter and May and Hogan Lovells rubbed shoulders with Davis Polk & Wardwell on MasterCard’s acquisition of UK payments firm VocaLink for £700m. Davis Polk’s London office led for MasterCard while Slaughters advised VocaLink alongside Hogan Lovells.
